Enterprise Terms of Service & SLA for SpaceJat by JATDEV.

Contractual Notice: These Terms contain extensive limitations of liability, warranty disclaimers, an enterprise acceptable use policy, and a binding Service Level Agreement (SLA) with exclusive remedies for uptime commitments.

1. Acceptance of Terms & Authority

These Terms of Service (“Terms”) constitute an enforceable agreement between JATDEV and the subscribing entity or individual (“Customer”). By downloading, installing, provisioning, or accessing SpaceJAT, Customer agrees to be bound hereby. Any individual agreeing to these Terms on behalf of a corporate or governmental entity warrants that they possess legal authority to bind said entity.

EXCEPT AS EXPRESSLY STIPULATED IN SECTION 5 (SERVICE LEVEL AGREEMENT), THE SERVICES AND SOFTWARE ARE PROVIDED “AS IS” AND “AS AVAILABLE”. JATDEV DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND SYSTEM INTEGRATION.

4. Limitation of Liability & Risk Allocation

4.1 Consequential Damages Exclusion

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL JATDEV, ITS DIRECTORS, OR ITS EMPLOYEES BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, COVER, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, GOODWILL, REPUTATION, DATA CORRUPTION, OR BUSINESS INTERRUPTION.

4.2 Financial Liability Cap

JATDEV’S MAXIMUM AGGREGATE LIABILITY ARISING OUT OF OR CONNECTED WITH THE SERVICES UNDER ALL CAUSES OF ACTION SHALL BE STRICTLY CAPPED AT THE TOTAL AMOUNT ACTUALLY PAID BY CUSTOMER TO JATDEV IN THE TWELVE (12) MONTHS PRECEDING THE OCCURRENCE GIVING RISE TO LIABILITY.

4.3 Self-Hosted Custodial Exclusions

JATDEV disclaims all liability for outages, security breaches, database corruptions, or unauthorized data access arising from Customer’s internal network configurations, root credential mismanagement, firewall errors, or failure to apply distributed software patches on on-premises nodes.

5. Enterprise Service Level Agreement (SLA)

This SLA governs paid Enterprise Managed Cloud instances. For on-premises instances, availability is governed by Customer infrastructure.

5.1 Target Uptime

JATDEV guarantees a Monthly Uptime Percentage of 99.9% during each monthly billing cycle.

5.2 Service Credits Schedule

If JATDEV fails to meet the availability commitment, Customer is entitled to claim service credits applied to subsequent invoices:

5.3 Downtime Exclusions & Exclusive Remedy

Downtime excludes scheduled maintenance (notified 48 hours prior), regional ISP or backbone routing failures, force majeure events, or suspension caused by AUP breaches. Service credits represent Customer’s sole and exclusive financial remedy for downtime.

6. Indemnification

Customer agrees to defend, indemnify, and hold harmless JATDEV and its affiliates from and against any third-party claims, liabilities, damages, or defense expenses arising out of: (i) Customer Data uploaded to the platform; (ii) breach of the Acceptable Use Policy; or (iii) unauthorized access enabled through compromised Customer administrative credentials.

7. Governing Law & Dispute Resolution

These Terms and any non-contractual obligations connected herewith shall be governed by and construed in accordance with the substantive laws of the Arab Republic of Egypt.

Any dispute, controversy, or claim arising out of or relating to this contract shall be finally settled under the Rules of Arbitration of the Cairo Regional Centre for International Commercial Arbitration (CRCICA) by one independent arbitrator appointed in accordance with said Rules. The legal seat and place of arbitration shall be Cairo, Egypt. Proceedings shall be conducted in English, without prejudice to either party’s right to seek urgent preliminary injunctions from courts of competent jurisdiction to protect intellectual property.
